Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Haiyus (“Service”) operated by Haiyus Inc. (“Company”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.

Haiyus is a business intelligence and data workspace platform that enables users to upload, analyze, visualize, and share data. Features include interactive dashboards, AI-powered analytics, data transformation tools, and collaboration capabilities.

• You must provide accurate, current, and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 16 years old to use the Service.
• One person or entity may not maintain more than one free account.
• You are responsible for all activity that occurs under your account.

• Paid subscriptions are billed in advance on a monthly or annual basis.
• All fees are non-refundable except as required by law or as explicitly stated in these Terms.
• Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date.
• We reserve the right to modify pricing with 30 days' notice. Continued use after notice constitutes acceptance.
• Payments are processed by Stripe. By providing payment information, you agree to Stripe's Terms of Service.

You agree NOT to use the Service to:

• Violate any applicable laws or regulations.
• Upload, transmit, or store any malicious code, viruses, or harmful software.
• Infringe upon the intellectual property rights of others.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Use automated means to scrape, crawl, or extract data from the Service.
• Harass, threaten, or harm any other user.
• Upload data containing personal information that you do not have the right to use or process.

• You retain ownership of all data and content you upload to the Service (“User Content”).
• By uploading User Content, you grant us a limited, non-exclusive license to store, process, and display it solely to provide the Service.
• We do not sell your data to third parties.
• You are solely responsible for ensuring you have the right to upload and process all data you provide.
• We implement industry-standard encryption and access controls to protect your data.

The Service and its original content (excluding User Content), features, and functionality are owned by Haiyus Inc. and protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service or its content without express written permission.

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to data processing as described therein.

The Service integrates with third-party services. Your use of these services is subject to their respective terms:

• Clerk (Authentication) — clerk.com/terms
• Supabase (Database) — supabase.com/terms
• Stripe (Payments) — stripe.com/tos
• Google (OAuth & Sheets) — policies.google.com/terms

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAIYUS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

• You may terminate your account at any time from your account settings.
• We may suspend or terminate your account immediately for violations of these Terms.
• Upon termination, your right to access the Service ceases. We will retain your data for 30 days before deletion, unless required by law to retain it longer.

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Disputes shall be resolved through binding arbitration under the AAA Commercial Arbitration Rules.

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or an in-app notice at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
